Cloud Service Platform Agreement

If your business is to provide a cloud service, Elkobtan will provide you with a list of critical customer obligations to consider when drafting your service agreement with your customer. In this case, you must establish a provision that requires the customer to: (I) prevent any unauthorized access to the Cloud Service Provider's (CSP) Confidential Subscription Services and promptly notify the CSP of any such unauthorized access or use; (ii) maintain the confidentiality of all authentications and passwords for the Subscription Services; and (iii) immediately notify the CSP if it becomes aware of an unauthorized party's access to such passwords. (iii) be responsible for the security measures and the use of the Subscription Services by its consultants, agents, employees, contractors, and affiliates (Users) in compliance with this Agreement; (iv) comply with all applicable laws when using the Subscription Services; and (v) obtain its own Apple Push Notification Certificate if the Subscription Services are used to manage devices running iOS. The customer is accountable for the creation and implementation of a privacy policy and end user license agreement, if applicable. These documents will outline the protocols for the customer's use and protection of personal information and data, along with the guidelines for users' use of the subscription services. (b) customer will not (i) disassemble, reverse engineer, or decompile the Subscription Services or part thereof, or access it in order (ii) create Internet “links” to or reproduce any content forming part of the Subscription Services, other than for its own internal business purposes; (iii) modify, copy or create derivative works based on the Subscription Services; disassemble, reverse engineer, or decompile the Subscription Services or part thereof, or access it in order to copy any ideas, features, content, functions or graphics of the Subscription Services; (iv) interfere with or disrupt the integrity or performance of the Subscription Services; (vi) send or store infringing, obscene, threatening, libelous, or otherwise unlawful or tortuous material, or send or store material in violation of any third party’s privacy rights via the Subscription Services; (vii) send or store viruses or malicious code via the Subscription Services; (viii) attempt to gain unauthorized access to the Subscription Services or its related software, systems, platforms or networks, including any form of security and/or penetration testing; (ix) use any components provided with the Subscription Services separately from the Subscription Services; or (x) distribute, rent, lease, sublicense or provide the Subscription Services to any third party or use it in a service bureau, outsourcing environment, or for the processing of third party data.

Software as a Service Agreement (SaaS)

Elkobtan executes a SaaS License Grant Agreement that authorizes the Licensor to provide the Licensee with a subscription to the SaaS Licensed Software, which is hosted by the Licensor /or by Licensee. This subscription is nonexclusive and non-transferable. The SaaS-licensed software grants the Licensee the right to access and operate its object code form. On the other hand, the Licensee will receive a restricted license, allowing them to use the SaaS-licensed software solely for their internal goals within the specified limits. Furthermore, the SaaS-licensed software shall not be accessible to any subsidiaries, affiliated companies, or third parties, as agreed by the Licensee. Additionally, the Licensee should refrain from conducting any activity related to the SaaS Licensed Software that could be interpreted as reverse engineering, disassembling, or analyzing the software's behavior in response to a variety of inputs. 

Platform as a Service Agreement (PaaS

Elkobtan collaborates with a variety of Platform Service Providers (PSP) to offer Platform as a Service (PaaS). Elkobtan maintains its own Elkobtan Technical Team (ETT).

ETT's objective is to evaluate the contractual technology of the platform to determine the most suitable business module. Subsequently, they will provide a report to ELT. The ELT is responsible for the drafting of the PaaS Agreement in a manner that ensures the maximum benefits are provided to its PSP’s Clients and the software is protected as an asset.

For instance, Elkobtan establishes a clause that grants its PSP the authority to grant its customer a limited, non-exclusive, non-sublicensable, and non-transferable right to access and use the PaaS service during the applicable subscription term, in accordance with the license entitlement as outlined in the applicable subscription agreement.

The customer has the right to access and use this software with the PaaS service, if applicable, provided they have paid all applicable fees.

Additionally, the fees for the PaaS service should be negotiable if the customer wishes to allow its affiliates to access and use it.

The customer is responsible for ensuring that all affiliates comply with this agreement and the subscription agreement(s).

As you can observe, Elkobtan is a specialist in IP management. Consequently, Elkobtan drafts the agreement in a manner that safeguards the software rights of its PSP Clients and prevents any unauthorized access to the PSP’s platform system.

Infrastructure as a Service Agreement (IaaS)

A technological production environment can be prepared for customers by any of the Infrastructure Service Providers (ISP) that Elkobtan can work with. This ISP can provide a single authoritative and live system that the customer uses for transactional processing, security devices, cables, routers, switches, hosts, computer nodes, physical servers, and other equipment. This ISP is comprised of any number of isolated server emulations that are hosted on a single physical server located on the infrastructure. We use the equipment to host virtual servers. These equipment pieces are essential for the smooth operation of the customer's application. The Elkobtan Technical Team (ETT) determines the infrastructure that the customer's business requires for the environmental operation system. Subsequently, the ETT submits a report to the Elkobtan Legal Team (ELT). In this context, the responsibility of ELT is to establish an IaaS agreement that specifies the obligations and liabilities of each party, as well as the appropriate security standard. Elkobtan's primary objective is to safeguard and prevent any form of cybercrime that may occur on the IaaS system and the data it contains.

Duel Social Platform Terms of Use and Payment Service Terms

Elkobtan addresses all types of Content Service Providers (CSP) and Social Platform Service Providers (SPSP). To facilitate the connection, interaction, and submission of content to the SPSP’s platform, Elkobtan can draft a social agreement between the SPSP and CSP. This content will be publicly accessible. CSP is agreeing to the SPSP Terms of Services by submitting its content. CSP warrants and represents that any data, images, photographs, text, videos, information, logos, representations, comments, links, graphics, and/or other materials, including any username, real name, image, likeness, caption, location, or other identifying information (Content), that CSP uploads and posts via the SPSP’s Services are either owned by CSP or licensed to CSP. CSP also acknowledges that CSP has the right to grant the licenses necessary to make such content available to the public. Due to its expertise in IP digital copyright and its security, Elkobtan limits the scope of SPSP’s liability if CSP fails to apply the responsibility for maintaining the security of CSP’s user account details, including the username and password. Consequently, Elkobtan requires CSP to refrain from disclosing any of the aforementioned information to a third party. Additionally, Elkobtan suggests that the CSP may be held accountable if it has been established that the CSP has actual knowledge or becomes aware, or reasonably suspects, that a third party has accessed its user account and fails to notify the SPSP promptly of unauthorized access. Elkobtan grants the SPSP the authority to temporarily or permanently disable access to any user account of a CSP, provided that the SPSP has reasonable grounds to suspect that a third party has shared or accessed the account without their consent.

Blockchain & Smart Contract & AI Platform Service Agreement (BSAPSA)

Elkobtan collaborates with any type of Business Service Platform (BSP), including Business 2 Consumer Platform Agreement (B2C), Consumer 2 Consumer Platform Agreement (C2C), and Government 2 Consumer Platform Agreement (G2C), in order to facilitate its online operations. Elkobtan conducts a thorough examination of its client’s business operations, and the Elkobtan Technical Team (ETT) selects the most suitable technological websites for the client’s business.

In this regard,  ETT constructs the platform module after selecting it and ensures that it adheres to the highest security standards. During this process, the Elkobtan Legal Team (ELT) initiates the drafting of the License Agreement (LA) for the use of this platform. To ensure that the platform is used in compliance with the requirements outlined in the Protection of Copyright Law, it is crucial that the client is granted the right to license its client customer to use the platform. The customer will create a corporate account for its company after the release of this license, which will allow it to utilize BSP’s browser-based online platform. Elkobtan mandated that the customer comply with the BSP ‘s Terms of Use when it established its account. If their employer has granted the customer access to the platform, they must adhere to the privacy policy within the scope of their license to prevent any unauthorized access. Nevertheless, if the customer does not agree to these terms of use, they are required to discontinue use of the platform and should not create an account. Additionally, Elkobtan grants BSP the authority to amend these Terms of Use at any time. These modifications will take effect as soon as the customer can access the platform again. The customer acknowledges these Terms of Use if they continue to use the platform. Elkobtan’s objective is to safeguard BSP’s platform from any cyberattacks that may encroach upon its client’s business data.

Security Measure & Privacy Policy & Cookies Notice

Using the ERC technology standards 721, 1115, 1400, and 1404, the Elkobtan Technical Team (ETT)offers BSAPSA technology solutions for its platform. Blockchain technology, smart contracts, and artificial intelligence form the foundation of these solutions. Therefore, Elkobtan Legal Team (ELT) mandates the platform’s construction on two layers: horizontal and vertical. The first layer is the horizontal layer of data protection, while the second layer is the vertical layer of cybersecurity. This layer ensures that the IPs asset is examined, registered, evaluated, marketed, protected, and recorded in a secure and effective manner, and that BSAPSA complies with the technical and legal requirements of cybersecurity. This will ensure the security of the stakeholders’ data on the system and provide them with access to the data set for designated purposes. Consequently, the BSAPSA will be activated under the following circumstances:

1- Privacy Policy & Cookies Notice.

2- Cybersecurity Compliance Agreement.
